Priya Cherian Huskins is a partner at Woodruff Sawyer, a full-service insurance brokerage that services clients worldwide. She is a recognized expert in D&O liability risk and its mitigation. In addition to consulting on D&O insurance matters, she counsels clients on corporate governance, including ways to reduce their exposure to shareholder lawsuits and regulatory investigations.
Priya is a frequent speaker on D&O issues. She has appeared on CNBC and been quoted in publications ranging from the Wall Street Journal to the Financial Times. She is also the author of the D&O Notebook, a blog that analyzes and summarizes issues as they arise in the areas of D&O liability, insurance, and corporate governance.
Priya serves on the board of directors of Realty Income Corporation (NYSE: O), NMI Holdings, Inc. (Nasdaq: NMIH), and Anzu SPAC (Nasdaq: ANZUU). Priya also serves on the board of Woodruff-Sawyer & Company.
Priya is a member of the advisory board of the Stanford Rock Center for Corporate Governance and is an active participant in their programs.
Prior to joining Woodruff Sawyer, Priya practiced corporate and securities law at Wilson Sonsini Goodrich & Rosati. Priya has worked with both public and private technology companies through all stages of their development, including IPOs and M&A transactions.
Priya was awarded her juris doctorate with honors from the Law School at the University of Chicago. She earned her undergraduate degree with high honors from Harvard University. Priya is a member of the California Bar.
Bala Iyer has served on ten public company boards since 2001 and currently serves on the boards of Power Integrations and Clarivate Plc.
As a board member, Bala has overseen more than 100 acquisitions as well as divestitures valued at over $50 billion and has overseen over $10 billion in equity and debt financing and served on several pricing committees. He currently chairs the Audit Committee at Power Integrations and the Risk Committee at Clarivate Plc.
He previously served on the boards of Churchill Capital, “IHS Markit”, Life Technologies and its predecessor company Invitrogen, IHS, QLogic, Skyworks Solutions, Conexant Systems and Overture Services and received recognition as a member of the NACD Directorship 100 in 2019 for leadership in the board room.
Bala served as CFO of Conexant Systems and VLSI Technologies during his long career in the technology industry. Bala has a BTech in Mechanical Engineering from the Indian Institute of Technology, an MS in Industrial Engineering from the University of California, Berkeley and an MBA from the Wharton School, University of Pennsylvania.
Shari is a partner in KPMG’s Deal Advisory practice where she specializes in the delivery of capital market readiness, buy side accounting diligence and finance integration services in the technology industry. She regularly advises clients on technical accounting matters which include business combinations, revenue recognition, lease accounting, debt/equity transactions, consolidation assessments, IFRS/U.S. GAAP conversions and various other accounting and SEC related issues. Shari has advised on a number of transformative M&A and SPAC transactions and has supported the preparation of financial statements and drafting of Forms S-1, S-4, 10-K, 10-Q and 8-K, correspondence with the SEC, and technical accounting support including the application of purchase accounting. Shari is also a frequent speaker at various industry conferences throughout the year.
Hoshi Printer serves on the boards of one public company and four private companies, three of which are family owned.
Printer is on the board of directors of Lantronix, a public technology company (LTRX), where he is the Chairman of the Audit Committee and a member of Nominating / Governance committee.
Designated as a Board Leadership Fellow by NACD (National Association of Corporate Directors) and a board member of its Pacific Southwest Chapter, he has more than four decades of impressive board, general and financial management experience spanning a wide range of industries.
Printer has served as CFO for ten technology companies in sectors that include the Internet, ecommerce, software, storage, and biosciences.
He holds an MBA, and is a U.S. Army Vietnam veteran.
