The Evolution and Implications of Shareholder Activism



We are very pleased to announce the return of Joseph A. Grundfest,
W. A. Franke Professor of Law and Business at Stanford Law School and co-director of the Rock Center on Corporate Governance at Stanford University, who will offer an inside look at the Evolution of Shareholder Activism.
A former commissioner of the Securities and Exchange Commission,  and a highly sought-after authority on corporate boards, board governance and shareholder relations, Professor Grundfest will offer his expert take on several current topics including:

  • The board must learn how to be political to muster the votes of a diverse shareholder body susceptible to the sway of influencers in the form of proxy advisors and others.
  • Today activists can more easily engage in asymmetric warfare by building smaller equity positions and spending less money to obtain a board seat and challenge a corporation’s strategy.
  • Many directors hold multiple board positions that generate significant income and are even more sensitive to the views of proxy advisors who can cause issues at all board positions.
  • Activists generally have a limited action set: Four well defined strategies will typically be able to explain 80% or more of activist initiatives.
