Long-Term Incentive Compensation
Driving Performance and Testing for Alignment
in Orange County and Beyond


Over the last four years of say-on-pay votes, the single most important concern to investors and proxy advisers has been whether a company’s CEO-pay has been aligned with company performance and shareholder returns over a period of one to five years. Moreover, in 2014 and looking forward to the 2015 proxy season, investors and proxy advisers have begun to more closely examine the terms of incentive pay plans and the rigor of their performance goals, even before their effects can be tested in the rearview mirror. 

Our panel will examine recent trends in CEO pay and the components of CEO pay of Orange County (OC) and of S&P 1500 companies, based on a recent study by the Center for Corporate Reporting and Governance at California State University, Fullerton which analyzes CEO-pay of the two groups of companies from 2009 to 2013.

The panel will analyze and discuss:

  • How pay-for-performance is tested and documented in the rear-view mirror in company proxies
  • How companies, Compensation Committees and Boards design long-term incentive compensation plans to drive company performance and create shareholder returns
  • How do OC Company incentive plans compare with those of the S&P 1500

Attendees will receive a copy of the new research bulletin, “CEO Pay in Orange County,” prepared by the Center for Corporate Reporting and Governance at Cal State Fullerton.
